Regardless of his personal pursuits and his vast personal wealth, Mr. Musk has legal responsibilities to Tesla—a publicly traded company—and its shareholders. The Tesla Board must act to ensure that Mr. Musk is meeting all of these responsibilities.

(T)he Board appears to be neglecting its duty to adequately govern the company and refusing to establish clear policies to address the risks to Tesla posed by Mr. Musk’s multiple apparent conflicts of interest.
